IPARN Foundation (Integrated Policy and Administrative Research Networking Foundation) is a non-profit organisation registered with the Ministry of Corporate Affairs, Government of India as a Non-Profit Section-8 Company under the Companies Act, 2013 to promote scientific research and exchange of knowledge in the field of Public Policy and Public Administration, and its ecosystem, and to contribute to its national and international development.

Additional Directors

The Board of Directors has the power at any time and from time to time to appoint any person as Additional Director for a particular tenure. The Board may appoint leading scholars and experts as Additional Directors of the foundation. The Additional Director does not have formal authority to govern the organization, that is, the Additional Director cannot issue directives which must be followed, rather they can apply and take funded projects on the behalf of the foundation, subject to the approval of the Board of Directors.

Members of the International Advisory committees

In the first meeting of the Board of Directors, while resolving the agenda on International Advisory Committee, it was decided that the IPARN FOUNDATION will constitute International Advisory Committee which will comprise of leading Scholars, Academicians and practitioners, under the supervision of the Director Prof. Prabhat Kumar Datta. The members of the Advisory Committee should be known to the global community of scholars for their publications and significant contribution to research in the domain of Public Policy and Public Administration. They should be leading practitioners, Scholars and Experts from the field of Public Policy and Administration. Different Advisory committees would be constituted according to the specialization of the scholars and practitioners.

International Advisory committee do not have any legal authority; therefore all of their responsibilities are assigned at the discretion of the Managing Director (MD) and/or Board of Directors.

Alternate Director

The Board may appoint any person as alternate director to act for a director during his absence for a period of not less than three months from the state in which meeting of the Board are ordinarily held and such alternate director shall ipso facto vacate office if and when the absentee director returns to the state in which meetings of the Board are ordinarily held, or if the absentee director vacates office as a director.

Meetings:

Meeting of the Board of Directors:

At least once in every three months or earlier as may be deemed necessary, the Directors shall meet together for dispatch of business, adjourn and otherwise regulate their meetings and proceedings as they think fit.

Annual General Meetings:

The Annual General Meeting of the organisation shall be held by the organisation within six months after the expiry of each financial year.

Extra Ordinary General Meeting:

  1. All General Meetings other than the Annual General Meetings and Meeting of the Board of Directors shall be called Extra-Ordinary General Meetings.
  2. The Board of Directors may, whenever it thinks fit, call an Extra Ordinary General Meeting.
  3. If at any time Directors capable of acting who are sufficient in number to form a quorum are not within India, any Director or two Directors of the may call an Extra Ordinary General Meeting in the same manner as nearly as possible as that in which such a meeting may be called by the Board of Directors.

The Chairman:

The Chairman of the Board of Directors will have to be elected from amongst the Directors. The Chairman of the Board of Directors shall preside as Chairman at every General Meeting of the Company, including Annual General Meetings. The Chairman of the Board of Directors or of any meeting shall have a casting vote in case of a tie in any meeting.

The Managing Director (MD):

Subject to the provisions of the Act, the organisation may from time to time appoint one of their board members to the office of Managing Director (MD) for such period and on such terms and with such powers and at such remuneration (whether by way of salary or commission or participation in profit or partly by one way and partly by another) as they think fit. Managing Director (MD) works as the Chief functionary of the Company, to look after the day to day operations of the company, appointment and termination of employees/servants of the company and perform other tasks in accordance to the Articles of Associations of the company and authorization received from the Board of Directors.
